1. Acceptance of Terms

By accessing or using any service offered by One Axbridge (“we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use our platform. These Terms apply to all visitors, users, and others who access or use our services.

2. Eligibility

Our services are intended solely for individuals who are: (i) at least 18 years of age; (ii) legally capable of entering into a binding contract in their jurisdiction; and (iii) not prohibited from receiving our services under applicable law. By using our platform, you represent and warrant that you meet all eligibility requirements.

3. Services

One Axbridge provides a fintech ecosystem focused on the US–India capital corridor, including credit intelligence, GIFT City fund access, and global capital bridging services. Our platform is informational and facilitatory in nature. Nothing on our platform constitutes investment advice, a solicitation to buy or sell securities, or a guarantee of financial returns. All financial decisions are made at your sole discretion and risk.

4. Account Registration & Security

To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities occurring under your account. Notify us immediately at security@axbridge.com of any unauthorised use or security breach.

5. KYC & Regulatory Compliance

As a regulated financial services platform, we are required to verify user identities in accordance with applicable Know Your Customer (KYC) and Anti-Money Laundering (AML) laws in the United States and India. You agree to provide all requested documentation and information promptly. Failure to comply may result in suspension or termination of your access to our services.

6. Prohibited Conduct

You agree not to:

• Use our platform for any unlawful purpose or in violation of any applicable regulations.
• Attempt to gain unauthorised access to any portion of our platform or related systems.
• Transmit any malicious code, viruses, or other harmful components.
• Misrepresent your identity or provide false information during registration or verification.
• Engage in market manipulation, money laundering, or any fraudulent financial activity.
• Scrape, harvest, or systematically extract data from our platform without written authorisation.
• Reverse engineer, decompile, or disassemble any component of our platform.

7. Intellectual Property

All content, trademarks, logos, and intellectual property on our platform are owned by or licensed to One Axbridge. You are granted a limited, non-exclusive, non-transferable licence to access and use our platform for personal, non-commercial purposes. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. Disclaimers

Our platform and services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We do not warrant that our platform will be uninterrupted, error-free, or free of viruses or other harmful components. Information provided on our platform is for general informational purposes only and does not constitute financial, legal, or tax advice.

9. Limitation of Liability

To the maximum extent permitted by applicable law, One Axbridge and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or related to your use of or inability to use our platform or services, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless One Axbridge and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (i) your use of our platform; (ii) your violation of these Terms; or (iii) your violation of any applicable law or the rights of any third party.

11. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration conducted in Delaware in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

12. Termination

We reserve the right to suspend or terminate your access to our platform at our sole discretion, with or without notice, for any violation of these Terms or for any other reason we deem appropriate. Upon termination, your right to use the platform immediately ceases. Provisions that by their nature should survive termination will remain in effect.

13. Changes to Terms

We may revise these Terms at any time by updating this page. Material changes will be communicated via the platform or by email. Continued use of our services after the effective date of revised Terms constitutes your acceptance of the changes.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
